Terms of Service

These terms describe the rules for using EverySheep.

Agreement to These Terms

EverySheep is operated by Covenant Foundry LLC. By creating an account, accessing the service, or using EverySheep, you agree to these Terms of Service and our Privacy Policy.

Eligibility

You must be at least 18 years old, or the age of legal majority where you live, to use EverySheep. EverySheep is intended for use by adults and is not directed to children under 13.

Accounts and Organizations

You are responsible for providing accurate account information, protecting your login credentials, and for activity that occurs under your account. If you use EverySheep on behalf of an organization, you represent that you have authority to accept these terms for that organization.

License to Use the Service

Subject to these terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use EverySheep for your own internal organizational purposes. We may update, improve, or modify the service from time to time.

User Content and Records

You retain ownership of content and records that you enter, upload, import, or manage in EverySheep. You grant us permission to host, process, transmit, and display that content as needed to provide the service. You are responsible for ensuring that you have appropriate rights, permissions, and lawful reasons to add and use that content.

EverySheep Intellectual Property and Feedback

Covenant Foundry LLC and its licensors retain all rights, title, and interest in EverySheep, including software, design, text, graphics, trademarks, and related intellectual property. If you send us feedback, suggestions, or ideas, you grant us permission to use them without restriction or compensation.

Acceptable Use

You agree not to use EverySheep to:

  • Break the law or violate another person's rights.
  • Upload malicious code or interfere with service operation.
  • Attempt unauthorized access to accounts, systems, or data.
  • Harass, abuse, threaten, or exploit another person.
  • Send spam or misleading communications.
  • Reverse engineer or misuse the service except as allowed by law.

Voluntary Support Subscriptions

EverySheep may offer voluntary support levels or subscriptions. These subscriptions help support the development and operation of the service. You may cancel or change subscriptions at any time. Unless we state otherwise or applicable law requires otherwise, cancellations stop future renewals and previously paid amounts are non-refundable. Payments are processed by third-party payment processors, and billing terms shown at checkout or in account settings also apply.

Third-Party Services

EverySheep may rely on third-party services for hosting, email, payment processing, error monitoring, and similar operational needs. Third-party services may have their own terms and privacy practices.

Privacy and Confidentiality

Our Privacy Policy explains how we handle personal information. We will use reasonable care to protect nonpublic user and organization information in our possession. You are responsible for protecting confidential information you access through EverySheep and for limiting access to people with an appropriate need to know.

No Professional Advice

EverySheep is an administrative and relationship-management tool. It does not provide legal, medical, counseling, ministry, financial, compliance, or other professional advice. You are responsible for decisions you make based on information in the service.

Service Changes and Availability

We may update, change, suspend, or discontinue parts of EverySheep over time. We work to keep the service available, but we do not guarantee uninterrupted or error-free operation.

Suspension and Termination

We may suspend or terminate access if we believe you violated these terms, created risk for the service or other users, or used the service unlawfully. You may stop using EverySheep at any time.

Disclaimers and Limitation of Liability

EverySheep is provided as is and as available. To the fullest extent permitted by law, Covenant Foundry LLC disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. To the fullest extent permitted by law, Covenant Foundry LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill.

To the fullest extent permitted by law, Covenant Foundry LLC's total liability for any claim relating to EverySheep will not exceed $100.

Indemnification

You agree to defend, indemnify, and hold harmless Covenant Foundry LLC from claims, damages, liabilities, costs, and expenses arising from your use of EverySheep, your content, your violation of these terms, or your violation of another person's rights, except to the extent caused by our gross negligence or willful misconduct.

Force Majeure

We will not be responsible for delays or failures caused by events beyond our reasonable control, including outages, labor disputes, acts of God, war, terrorism, civil unrest, government action, internet or hosting failures, or failures of third-party services.

Governing Law

These terms are governed by the laws of the State of West Virginia, without regard to conflict-of-law principles.

Electronic Communications

You agree that we may send service, account, billing, security, and legal notices electronically, including by email or through EverySheep. Notices are considered received when sent or posted.

Changes to These Terms

We may update these terms from time to time. When we make changes, we will update the date above and may provide additional notice when appropriate. Continued use of EverySheep after changes take effect means you accept the updated terms.

Miscellaneous

These terms, together with the Privacy Policy and any terms shown at checkout or in account settings, are the entire agreement between you and Covenant Foundry LLC regarding EverySheep. If any part of these terms is unenforceable, the remaining terms will remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these terms without our consent. We may assign these terms as part of a merger, acquisition, corporate reorganization, or sale of assets.
